About the Lawsuit

Teladoc and certain of its executives are charged with failing to disclose material information during the Class Period, violating federal securities laws. 

On April 27, 2022, the Company disclosed a host of negative financial results, including revenue of $565.4 million, below consensus estimates by $3.23 million, net loss per share of $41.58, primarily driven by a non-cash goodwill impairment charge of $6.6 billion or $41.11 per share, and revised FY 2022 revenue guidance to $2.4$2.5 billion and adjusted EBITDA guidance to $240$265 million, which the Company largely attributed to increased competition in its BetterHelp and chronic care businesses.

VIENNA -Iran has escalated its uranium enrichment further with the use of advanced machines at its underground Fordow plant in a setup that can more easily change between enrichment levels, the U.N. atomic watchdog said in a report on Saturday seen by Reuters.

Western diplomats have long expressed concern about devices this cascade, or cluster, of centrifuges is equipped with.

The use of these so-called modified sub-headers means Iran could switch more quickly and easily to enriching to higher purity levels.

While Iran is required to inform the International Atomic Energy Agency about such a switch, if it chose not to, it might escape detection for some time as there is currently a lag between Iran’s enrichment and IAEA inspectors’ verification of what is produced.

“On 7 July 2022, Iran informed the Agency that, on the same day, it had begun feeding the aforementioned cascade with UF6 enriched up to 5% U-235,” the confidential report to IAEA member states said.

UF6 refers to uranium hexafluoride gas which is fed into centrifuges to be enriched.

In a report on June 20 also seen by Reuters, the IAEA said that months after Iran informed it of its intention to use the cascade, Iran had begun feeding UF6 into it for passivation, a process that comes before enrichment.

The IAEA verified on July 6 that passivation had ended, Saturday’s report said.

“On 9 July 2022, the Agency verified that Iran had begun feeding UF6 enriched up to 5% U-235 into the cascade of 166 IR-6 centrifuges with modified sub-headers for the declared purpose of producing UF6 enriched up to 20% U-235,” it said.

Iran is already enriching to up to 60% elsewhere, well above the up to 20% it produced before its 2015 deal with major powers that capped its enrichment level at 3.67% but still below the roughly 90% of weapons grade.

The move is the latest step of many to breach and move well beyond the restrictions which the 2015 deal imposed on Iran’s nuclear activities. It comes as talks to revive that deal are at an impasse and Western powers have warned time is running out to reach an agreement.

The United States pulled out of the deal in 2018 under then-President Donald Trump, re-imposing sanctions against Tehran that the deal had lifted.

A year later, Iran began retaliating by breaching the deal’s restrictions.

Marshals Northern Iowa Fugitive Task Force has been conducting an
initiative focused on apprehending Iowa’s Most Wanted fugitive sex
offenders, playing a unique role in efforts to combat child
exploitation. During this operation, 13 Most Wanted sex
offenders were located and arrested throughout Iowa. These arrests
resulted in the recovery of two firearms, multiple rounds of ammunition,
narcotics, and three new criminal cases presented to the U.S. Attorney’s
office for consideration. Of the 13 subjects arrested, seven had prior
convictions for crimes against children under the age of 13. All of the
fugitives arrested were in a non-compliant status with Iowa’s Sex
Offender Registry. The Iowa Sex Offender Registry became law on
July 1, 1995, and is maintained and updated daily by the Iowa Department
of Public Safety. Today, there are 6,549 registered sex offenders in the
state of Iowa. The offenders listed on the
Most Wanted website
have been in a non-compliance status with the registry and have active
arrest warrants on file. Today, 49 offenders remain on Iowa’s Most
Wanted. “Much of the success of this operation can be attributed
to the vigilant efforts of our community members,” said Superivory
Deputy U.S. Marshal Phil Hartung. “Throughout this operation, tips were
received through the
Iowa Sex Offender Registry’s tipline and through the
United State
Marshals tipline.“The relationship between the United States

additional support from the community in locating Iowa’s Most Wanted.
The U.S. Marshals are offering cash rewards for information directly
leading to the arrest of sex offenders who are in a non-compliant
status. Tips submitted are entirely confidential, completely anonymous
and are processed by the United States Marshals Service.“Ensuring our community’s safety is a continual effort, and our Deputy

NARA/TOKYO -Police acknowledged security flaws on Saturday in the Japanese city of Nara where former Prime Minister Shinzo Abe was assassinated, as a motorcade carrying his body arrived at his home in the capital Tokyo.

Mourners gathered at his residence and at the scene of Friday’s tragedy in the western city of Nara, where Japan’s longest-serving modern leader was gunned down in a rare act of political violence while making a campaign speech.

Police arrested a 41-year-old man immediately after Abe was shot at close range with a homemade gun. The local police force manning the campaign event said on Saturday that there had been shortcomings in the security arrangements.

“We can’t deny that there were problems with the security plan given how things ended,” Nara prefectural police chief Tomoaki Onizuka told a news conference.

“I feel a grave sense of responsibility,” he said, adding that police would analyse what exactly went wrong and implement any necessary changes.

Dignitaries in Japan often travel with modest security details focused mainly on direct physical threats rather than by heavily armed personnel braced for firearms attacks seen in places such as the United States.

On Friday, Nippon Television quoted Nara police as saying Abe was protected at the rally by one armed specialised police officer and some other local officers. Nara police declined to say how many police officers were handling Abe’s security.

ELECTIONS SUNDAY

Elections for seats in Japan’s upper house of parliament are going ahead as scheduled on Sunday, with the vote expected to deliver victory to the ruling coalition led by Prime Minister Fumio Kishida, an Abe protege.

Kishida was back on the campaign trail visiting regional constituencies after making an emergency return to Tokyo on Friday after the shooting.

A metal detection scanner, not normally seen at election events in largely crime-free Japan, was installed at a site in the city of Fujiyoshida where Kishida was due to give a campaign speech. There was also a heavy police presence.

In Nara, some 450 km (280 miles) southwest of Tokyo, a stream of people queued up to lay flowers on a table beside a photograph of Abe.

“I’m just shocked that this kind of thing happened in Nara,” said Natsumi Niwa, a 50-year-old housewife, after laying flowers with her 10-year-old son near the scene of the killing outside a downtown train station.

Niwa said Abe, a conservative and architect of the “Abenomics” policies aimed at reflating the economy, had inspired the name of her son, Masakuni. Abe used to hail Japan as a “beautiful nation”. “Kuni” means nation in Japanese.

A night vigil is due to be held on Monday. Abe’s funeral will take place on Tuesday, attended by close friends, media said. There was no immediate word on any public memorial service.

Police were scrambling to piece together details of the suspect’s motive and his preparations for the crime.

The suspect believed the former Japanese leader was linked to a religious group he blamed for his mother’s financial ruin, police told local media on Saturday, without identifying the group.

He spent months plotting the attack, even attending other Abe campaign events, including one a day earlier some 200 km (miles) away, media reported.

Analysts said the gun he used was easy to make from readily available materials such as wood and metal pipes, showing the difficulty in eliminating such threats even in a country where tough laws mean it is rare for citizens to buy or own firearms.

BIG TURNOUT EXPECTED

Abe’s killing “heightens the prospect for stronger turnout and greater support for his Liberal Democratic Party (LDP)”, in Sunday’s election, Eurasia Group analysts wrote in a note.

The LDP, where Abe retained considerable influence, had already been expected to gain seats before the assassination. Abe, 67, served twice as prime minister, stepping down citing ill health on both occasions.

But he remained a member of parliament and influential leader in the LDP after stepping down for the second time in 2020.

A strong election performance by the LDP “could catalyse Kishida to push for Abe’s unfulfilled goal of amending Japan’s constitution to allow for a stronger role for the military”, James Brady, vice president at advisory firm Teneo, wrote in a note.

Kishida visited Abe’s residence in Tokyo to pay his respects on Saturday, the Kyodo news agency reported, alongside mourners clutching flowers and party officials who bowed as the hearse carrying his body arrived.

Abe’s death has drawn condolences from across political divides, and from around the world.

The Quad, a group of countries aimed at countering China’s influence in the Indo-Pacific region which Abe was instrumental in setting up, expressed shock at the assassination in a joint statement.

“We will honour Prime Minister Abe’s memory by redoubling our work towards a peaceful and prosperous region,” said the group, which includes Japan, India, Australia and the United States.

Chinese President Xi Jinping also paid tribute to Abe, who he said worked hard to improve relations between the neighbours, Chinese state media reported.

SHANGHAI – Four people at a renowned Shanghai hospital were wounded by a knife-wielding assailant on Saturday, in the second reported stabbing incident after a COVID-19 lockdown of the financial hub was lifted early in June.

Officers raced to the more than 100-year-old Ruijin Hospital on Saturday morning after receiving calls about an attack, police said.

Videos on social media showed chaos as visitors clambered under turnstiles to get out of the hospital while doctors were seen running out with their patients, some in wheelchairs and one on a mobile bed.

A long trail of blood was seen on the marble surface of a flight of stairs in one video.

“It’s very shocking,” said a Shanghai resident who had arrived for a check-up just after the hospital was sealed off, declining to give her name. “This is very despairing. What has happened to this society?”

Hospitals are a flashpoint for many in China, who face issues from touts illegally trading appointment tickets, long queues to see doctors, and corruption that can push up the cost of receiving care.

Reports of patients assaulting doctors are also common.

At the Shanghai hospital, police found a man holding a crowd hostage with a knife on the seventh floor of the outpatient department. When the man threatened to hurt the hostages, the police opened fire, subduing him, according to local police.

None of the wounded is in a life-threatening situation and the incident is being investigated, the police said.

Ruijin Hospital has been cordoned off, and all appointments cancelled, a police officer told onlookers outside.

A man was arrested on Monday after going on a stabbing spree in the city’s downtown Jingan district.

BLOOMFIELD, NJ – Hey T, you got a friend coming to visit. Actor Tony Sirico, best known for his role as Paulie Walnuts on the Sopranos has died.

Sirico died Friday night at an assisted living facility in Fort Lauderdale, Florida. He was 79 years old. Sirico was born on July 29, 1942 in New York City and was always a New York City kind of guy, growing up in Flatbush and Bensonhurst.

His roles in Hollywood consisted mostly of bad guy and mobster type characters over his career.

Sirico is survived by daughter Joanne Sirico Bello; son Richard Sirico; his brother, Robert Sirico, a priest; and other relatives.

He was originally auditioning for the role of Uncle Junior for the Sopranos but didn’t get the role. Instead, a new character was created for him.

DAKAR – The International Monetary Fund’s (IMF) executive board has approved a $638 million extended fund and extended credit facility for Benin under a 42-month arrangement to help the West African nation address pressing financing needs, the IMF said in a statement late on Friday.

The decision will enable an immediate disbursement of $143 million, which Benin authorities intend to use for budget support, the IMF said.

Like other countries in the region, Benin’s economy has been battered by global shocks including the coronavirus pandemic, the war in Ukraine, and increasing attacks by Islamist militants in the north of the country.

“Benin faces significant headwinds from a deteriorating security situation at its northern border, COVID-19-induced scars, the war in Ukraine, as well as significant climate risks, which could erode hard-won economic gains in recent years,” the IMF said.

“The programme is calibrated flexibly to accommodate large spending needs in the near term; it then pivots to revenue-based fiscal consolidation starting in 2023 to ensure medium-term debt sustainability,” it added.

ROME – Italian police on Saturday confirmed 11 people died when a glacier collapsed in the Alps in an incident being blamed on rising temperatures.

Rescue teams had feared a 12th person could have been killed, but now say there is no reason to believe the toll will be higher.

The Fassa Valley was holding a day of mourning to honour those who killed in the avalanche on Sunday on the Marmolada, which at more than 3,300 metres (10,830 feet) is the highest peak in the Dolomites, a range in the eastern Italian Alps straddling the regions of Trento and Veneto.

Much of Italy has been hit by an early-summer heatwave and scientists said climate change was making previously stable glaciers more unpredictable.

“We can say we have been very quick in completing our work and reaching a final tally of 11 deaths,” Giampietro Lago, the head of a scientific police unit drafted to help with the identification process, told a news conference.

BEIRUT – Syrian President Bashar al-Assad marked the Muslim holiday of Eid al-Adha on Saturday in Aleppo, his first visit to the northern city since his forces recaptured it in 2016 with help from Russia and other allied forces.

A statement by Syrian state news agency SANA said Assad performed Eid al-Adha prayers at the Ibn Abbas mosque alongside other top government officials.

In his remarks, Assad said he visited historic marketplaces and inaugurated a thermal power plant that is expected to generate 200 megawatts of electricity, according to SANA.

The city produced 1,000 megawatts of power before the fighting erupted there in 2012, one year into the uprising against Assad.

His forces recaptured the city in late 2016 with help from Russian warplanes and Iran-backed armed groups. Tehran then signed a deal to rehabilitate five power plants in Aleppo.

TOMS RIVER, NJ – Ocean County Commissioner Virginia Haines is still a Republican, but on Thursday night, the elder stateswoman was seen with a male subject emptying items from the Ocean County GOP Headquarters on Main Street in Toms River.

It’s unsure why Haines, who is an RNC Committeewoman would be emptying her belongings from the building, but told witnesses she was only taking personal property.

Haines was spotted along with an unknown elderly male bringing boxes and items out of the GOP county headquarters building late Thursday night.

The incident happened shortly after George Gilmore won the election to become the new Ocean County GOP Chairman, defeating Sheriff Michael Mastronardy.

The odd incident unfolded as Haines is still a candidate for re-election for county commissioner under the GOP banner. She is still a member of the Ocean County GOP and a candidate for office in 2022, according to the organization’s website and Facebook page.

Rumors that Haines removed the “G” keys on computer keyboards in the building were unfounded. New GOP Chairman George Gilmore refused to comment on the incident.

The incident was just one of many bizarre events that unfolded in the hours after the GOP county committee voted to oust leadership aligned with Frank B. Holman, Toms River Mayor Maurice Hill, and New Jersey Assemblyman Greg McGuckin.

The Ocean County GOP opened the Main Street headquarters in 2020. No police reports were filed in the incident.

Haines did not respond for comment on this story.

BALTIMORE, MD – Two men were shot overnight in Baltimore and both are listed in critical condition. According to police, at approximately 12:34 a.m., Southwest District patrol officers were called to the 2500 block of West Fairmount Avenue for a report of a shooting.

Once there, officers located a 32-year-old male and a 37-year-old male both suffering from serious gunshot wounds. Both victims were transported to area hospitals where they are listed in critical condition.

Due to the victim’s injuries, Homicide detectives are investigating.

BALTIMORE, MD – A 32-year-old male was shot overnight and recovering in the hospital in stable condition.

Baltimore police said at approximately 12:43 a.m. this morning, Southeast District patrol officers responded to the 4800 block of Eastern Avenue for a report of a shooting. Once there, officers located a 32-year-old male suffering from an apparent gunshot wound.

The victim was transported to an area hospital where he is listed in stable condition.

COLUMBUS, OH – A 16-year-old male from Columbus is wanted by police for the Wednesday morning murder of Nelson Conley, Jr. Police are searching for wanted fugitive Keith T. Waddell, a black male who is currently in hiding, according to the Columbus Police Department.

According to police, on July 6, at approximately 10:57 am, officers were dispatched to the 1000 Block of Ellsworth Ave on the report of a shooting.  

“Officers arrived at the scene and found the victim, Nelson E. Conley Jr., suffering from an apparent gunshot wound,” police said. “CFD EMS 10 arrived at the scene and pronounced Mr. Conley deceased at 11:05 am.”

The suspect in this Homicide was identified as Keith T. Waddell M/B 16.

“A warrant has been issued for his arrest in the murder of Nelson E. Conley Jr.,” police said.

SPRING VALLEY, NY – A 17-year-old male was shot and killed in a parking lot at the Meadow Lane apartment complex.

According to police, early Friday morning, at 2:30 am, officers responded to the parking lot of 150 West Eckerson Rd, for a report of a male who had been shot.

“Arriving officers immediately found a young man suffering from what appeared to be a gunshot wound. They attempted life-saving medical attention which was continued by medical personnel who arrived shortly thereafter,” police said.

The young man, now known to be a seventeen-year-old Spring Valley resident, was transported to Good Samaritan Hospital via ambulance where he tragically succumbed to his injuries.

NEW YORK, NY – A man was shot and killed by a gunman in Brooklyn Wednesday night while his vehicle was stopped at a red light near Classon Avenue and Atlantic Avenue. The man, a passenger in a Jeep driven by a female driver was shot multiple times, according to the New York City Police Department.

According to police, at 10:50 pm., the gunman approached a vehicle where the victim was a passenger. The woman, in an attempt to flee the suspect crashed the vehicle. The suspect chased the car, shooting at the passenger multiple times killing him with shots to the chest and leg. The suspect fled the scene.

PITTSBURGH, PA – Two people were shot multiple times and two others were injured after a gunman opened fire on Oak Hill Drive in Terrace Village.

At around 12:38 am, police said at least 12 shots were fired, detected by the city’s ShotSpotter alert system. Upon arrival officers discovered two people were shot and two other people were otherwise injured at the scene. All four were transported to local hospitals.

The victims were a juvenile female, two adult females, and an adult male, all in stable conditions.

The Mobile Crime Unit and VCU arrived and processed the scene. The investigation is ongoing.

NEW YORK, NY – A man laying on a bench was stabbed early Tuesday morning in the West Village section of Manhattan. Police said the incident took place at 374 West 11th Street when an unidentified black male approached the victim and stabbed him with an unknown object unprovoked.

GREENBELT CITY, MD – Police in Greenbelt City are searching for suspects believed to have committed an armed carjacking on Wednesday. Today, the department released pictures of several individuals ‘of interest’ in the crime.

According to police, on Wednesday, at 10:01 pm, the carjacking took place on Hanover Parkway. A delivery food driver was carjacked by four males wearing all black and black face masks armed with a handgun. The victim’s blue Toyota Corolla was taken.

SEVERN, MD – A shootout at a playground in Meade Village Circle ended with a 15-year-old shot and teens running for cover Thursday night. The shooting began when a vehicle drove up to the playground and four black males began firing their guns. At least one person in the playground returned fire.

At around 12:50 pm, police began to receive reports of multiple shots fired in the 8100 block of Meade Village Circle in Severn.

“Upon arrival, officers learned that a group of four black males arrived in a dark SUV and began shooting toward the playground,” police said. “A 15-year-old male was struck and transported to an area hospital with non-life-threatening injuries.”

Police said a person on the playground returned fire on the original suspects and fled the scene.

Detectives located multiple shell casings. Several buildings were damaged by projectiles during the shooting.

Western District detectives are investigating and ask anyone with information on either shooting suspect to contact 410-222-6155. Detectives do not believe this was a random act of violence and was a targeted incident.

BLOOMFIELD, NJ – A Jersey City man, Joshua Gonzalez, 24, was arrested by the United States Marshals Service New York/New Jersey Regional Fugitive Task Force in the area of Franklin Street in Bloomfield on Thursday.

According to police, Gonzalez was wanted in connection with the double stabbing on July 5, in Jersey City that left one man dead and one woman injured. Police said Gonzalez violated a restraining order during the attack.

Following his arrest, Gonzalez was transported to the Hudson County Correctional Facility in Kearny pending his First Appearance.

Police reports show that on Tuesday, July 5, at approximately 6:42 a.m., members of the Jersey City Police Department responded to Clinton Avenue on reports of an aggravated assault.

“Responding officers found a 22-year-old woman with a serious apparent stab wound. The woman was transported by Emergency Medical Services to Jersey City Medical Center where she remains in stable condition.” Prosector Esther Suarez said in a statemnt. “At approximately 10:00 a.m., the Jersey City Police Department was notified that an injured person was located at 186 McAdoo Avenue.”

Responding officers found the lifeless body of a man — later identified as Jason Khusial, 21, of Jersey City — with multiple apparent stab wounds. He was pronounced dead at the scene at 10:14 a.m. The Regional Medical Examiner’s Office determined the Cause of death to be multiple sharp force wounds to the torso and the Manner of death to be homicide.

NORWALK, CT – Police in Norwalk today have announced the arrest of West Rock Middle School teacher York Mario. Mario was arrested for reckless endangerment of a student and released on a $5,000 bond.

According to police, an investigation was initiated on November 11, 2021, when a student at West Rocks Middle School reported that he was mistreated by Mr. Mario.


Detective Kristina La Pak of the Norwalk Police Department Special Victims Unit assumed the case and worked together with the Department of Children and Families (DCF) to conduct a thorough investigation,” police reported. “The investigation revealed that on October 29, 2021, Mario grabbed a student by his shoulder, while he was sitting in a chair, and pulled him causing the student to fall to the ground. Mario then dragged the student across the room while the student clung to another desk. Part of the incident was captured on video by another student.”

After consultation with the Stamford Superior Court an arrest warrant was submitted and signed, charging Mr. Mario with Risk of Injury and Reckless Endangerment 2nd degree.

NEWARK, DE – A fight between two a man and a woman inside a Newark apartment complex ended in a stabbing and both participants behind bars on Monday.

According to police, on July 4, at around 3:30 am, the department was notified by an area hospital that a female victim arrived suffering from multiple injuries caused by a knife. 

Newark Police located the crime scene in the unit block of O’Daniel Avenue.

“The investigation at the scene determined that a female victim arrived at a residence to meet with Chakeir Ford-Hopkins, 22, of Bear.  Ford-Hopkins and the victim are known to each other.  An altercation occurred between the victim, Ford-Hopkins and a female resident identified as Dymesha Gary, 23,” the Newark Police Department said. “During the course of the altercation, Ford-Hopkins punched the victim in the head.  Gary then introduced a knife and cut the victim multiple times in the head, arms and hand.  The victim was transported to an area hospital by private automobile suffering from serious physical injuries.”

  The victim has since been released from the hospital.

After completion of the investigation by Newark Police detectives, warrants were obtained for the arrest of Ford-Hopkins and Gary, police reported.

On Thursday, Newark Police executed a search warrant at Gary’s residence.  Both Ford-Hopkins and Gary were taken into custody without incident.  During the course of the search, two firearms and ammunition were located in the residence.  Ford-Hopkins is prohibited by law from possessing a firearm or ammunition.
